Terms of Use

These terms set the ground rules for using ProHourly to present professional services, discover Australian talent and form direct working relationships.

These Terms of Use form an agreement between you and VANIK PTY LTD (ABN 67 681 508 163), the operator of ProHourly. By creating an account or using ProHourly, you agree to these terms. If you do not agree, do not use the platform.

1. What ProHourly provides

ProHourly is a profile-first work marketplace that helps people present their skills, work preferences, rates and availability, and helps employers discover and contact them directly. ProHourly does not require public job postings, applications or bidding. Unless we expressly agree otherwise in writing, ProHourly is not an employer, recruitment agency, labour-hire provider, professional adviser or party to an engagement between users.

2. Eligibility and accounts

You must be at least 18 years old and legally able to enter contracts. You must provide accurate information, protect access to your account and promptly update information that becomes incorrect. You are responsible for activity performed through your account, except to the extent caused by our failure to use reasonable care.

3. Professional profiles

Professionals are responsible for ensuring their profile, work history, rates, availability, credentials, licences, insurance and portfolio claims are accurate, current and not misleading. Publishing a profile does not guarantee enquiries or work. Profile completion, verification, relevance, activity and marketplace trust signals may influence search visibility and ranking.

4. Business responsibilities

Businesses must assess whether a professional is suitable for an engagement, including checking identity, references, qualifications, licences, insurance, availability and legal working arrangements where relevant. Trust scores, badges and platform information assist discovery but are not a substitute for appropriate due diligence.

5. Direct engagements

Users decide whether to enter an engagement and are responsible for agreeing its scope, deliverables, timing, fees, expenses, intellectual property, confidentiality, tax, superannuation, insurance, workplace safety, employment classification and termination terms. Unless a specific ProHourly service says otherwise, payments and contracts are arranged directly between the users. ProHourly does not guarantee payment, performance, quality, legality or any particular outcome.

6. No circumvention of legal obligations

ProHourly must not be used to avoid employment, contractor, labour-hire, taxation, superannuation, migration, licensing, workplace safety, consumer or other legal obligations. The substance of a working relationship determines its legal treatment, not the label used by the parties.

7. Acceptable use

You must not:

  • provide false, deceptive, discriminatory or unlawful information;
  • impersonate another person or misrepresent qualifications, results, identity or authority;
  • harass users, send spam, scrape the platform or misuse contact information;
  • upload malware or interfere with ProHourly’s security, availability or operation;
  • infringe privacy, confidentiality, intellectual property or other rights; or
  • use ProHourly for unlawful, unsafe, exploitative or fraudulent activity.

8. User content

You retain ownership of content you submit. You grant VANIK PTY LTD a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, format and display that content as reasonably required to operate, secure, promote and improve ProHourly. You confirm that you have the rights and permissions needed to submit the content. You may remove content, subject to reasonable retention for backups, legal obligations, security and disputes.

9. Verification and trust signals

Verification badges, trust scores, reviews, response information and completed-engagement signals reflect limited information available at a point in time. They are not guarantees or endorsements. We may change how these signals are calculated, request updated evidence, remove a badge or investigate suspected misuse.

10. Fees

Creating and publishing a work profile is free. Direct profile contact and employer hiring tools require the employer membership, currently advertised at AUD $29 per month. The checkout will disclose the current price, billing interval and cancellation terms before purchase. Rates displayed on profiles are supplied by the profile owner and may exclude GST, expenses, superannuation or other agreed costs unless stated otherwise.

11. Intellectual property

ProHourly’s software, branding, interface and platform content—excluding user content—are owned by or licensed to VANIK PTY LTD. You may use them only as necessary to access ProHourly under these terms. You must not copy, reverse engineer or commercially exploit the platform except where applicable law permits it.

12. Suspension and termination

You may stop using ProHourly at any time. We may restrict or suspend access where reasonably necessary to protect users, investigate suspected misuse, comply with law, address security risks or enforce these terms. Where appropriate, we will provide notice and an opportunity to respond. Provisions that are intended to survive termination continue to apply.

13. Consumer guarantees and liability

Nothing in these terms excludes rights or remedies that cannot lawfully be excluded, including applicable rights under the Australian Consumer Law. To the maximum extent permitted by law, ProHourly is provided on an “as available” basis, and VANIK PTY LTD is not liable for indirect or consequential loss, lost opportunity, lost profit, or the acts or omissions of another user. Where liability can lawfully be limited, it is limited to resupplying the relevant service or paying the reasonable cost of resupply.

14. Disputes between users

Users should first try to resolve engagement disputes directly and keep clear written records of scope, approvals and payments. We may provide communication records or platform support where lawful and appropriate, but we are not required to decide private contractual disputes.

Our Privacy Policy explains how we handle personal information and forms part of these terms.

16. Changes

We may update ProHourly and these terms as the service develops. The current version and effective date will be published here. If a change materially affects existing users, we will take reasonable steps to provide notice. Continued use after the change takes effect constitutes acceptance of the updated terms.

17. Governing law

These terms are governed by the laws of Victoria, Australia. Subject to any mandatory rights, the courts of Victoria and applicable Commonwealth courts have jurisdiction.
